These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", "your") and JIBAO PROXY PTE. LTD. ("JIBAO PROXY", "Company", "we", "us", "our"), governing your access to and use of the JIBAO PROXY website, platform, APIs, and all related proxy services (collectively, the "Services"). By creating an account, accessing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree, you must discontinue use of the Services immediately.

1. Definitions

For the purposes of this Agreement:

• "Services" refers to all proxy products, APIs, dashboards, documentation, and related infrastructure provided by JIBAO PROXY, including but not limited to dynamic residential, static residential, mobile, and datacenter proxy offerings.
• "Account" refers to the registered user profile created upon sign-up, including associated credentials, billing information, and usage history.
• "Credits" refers to the monetary balance in your Account used to consume Services, including purchased credits and promotional bonuses.
• "Prohibited Use" refers to any activity expressly forbidden under Section 5 of this Agreement.
• "Intellectual Property" refers to all trademarks, trade names, logos, proprietary technology, software, content, and documentation owned by or licensed to JIBAO PROXY.

2. Eligibility and Account Registration

2.1 Eligibility Requirements

To use the Services, you represent and warrant that you:

• Are at least eighteen (18) years of age, or the age of legal majority in your jurisdiction, whichever is greater;
• Have the legal capacity and authority to enter into a binding contractual agreement;
• Are not located in, or a resident of, any jurisdiction where the use of proxy services is prohibited by applicable law or regulation;
• Are not listed on any government-maintained sanctions list or otherwise prohibited from receiving services under applicable export control or trade sanctions laws.

2.2 Account Obligations

Upon registration, you agree to:

• Provide accurate, current, and complete information as required during the registration process;
• Promptly update your Account information to maintain its accuracy;
• Maintain the confidentiality and security of your login credentials, including passwords and API keys;
• Accept full responsibility for all activities conducted through your Account, whether authorized or unauthorized;
• Notify JIBAO PROXY immediately upon becoming aware of any unauthorized access or security breach involving your Account.

JIBAO PROXY reserves the right to suspend, restrict, or terminate any Account that we reasonably believe has been compromised, is being used in violation of these Terms, or is associated with fraudulent or suspicious activity.

3. Scope of Services

JIBAO PROXY provides proxy IP technology services, including rotating and static residential proxies, mobile proxies, and datacenter proxies across 240+ countries and regions. The Services are designed to facilitate lawful use cases including, but not limited to:

• Web data collection and competitive intelligence;
• Search engine optimization (SEO) monitoring and analysis;
• Advertisement verification and fraud detection;
• Brand protection and intellectual property monitoring;
• E-commerce price monitoring, product research, and market analysis;
• Social media management and multi-account operations;
• Application testing, QA, and geo-targeted content verification;
• Academic and security research conducted in accordance with applicable laws.

JIBAO PROXY acts solely as a technology infrastructure provider. We do not control, monitor, or assume responsibility for the specific content accessed or actions taken by Users through the Services.

4. Acceptable Use Policy

You agree to use the Services in strict compliance with all applicable local, national, and international laws, regulations, and industry standards. You shall not use the Services in any manner that:

• Infringes upon the intellectual property rights, privacy rights, or any other legal rights of third parties;
• Violates the terms of service, acceptable use policies, or robots.txt directives of any third-party website or platform;
• Results in excessive, disproportionate, or unreasonable load on third-party infrastructure;
• Constitutes unfair competition, market manipulation, or deceptive business practices.

You are solely responsible for ensuring that your use of the Services complies with all applicable laws in your jurisdiction and the jurisdictions of the resources you access.

5. Prohibited Activities

The following activities are strictly prohibited and constitute grounds for immediate Account suspension or termination without refund:

• Illegal Activities: Any use of the Services to engage in, facilitate, or support activities that violate any applicable law, statute, ordinance, or regulation;
• Cyberattacks: Launching or facilitating distributed denial-of-service (DDoS) attacks, hacking, unauthorized network intrusion, vulnerability scanning of systems without authorization, or any form of cyberattack;
• Fraud and Identity Theft: Phishing, credential stuffing, account takeover, identity fraud, financial fraud, or any deceptive scheme designed to misappropriate funds or personal information;
• Spam and Unsolicited Communications: Sending bulk unsolicited emails, SMS messages, or other forms of spam, including the use of the Services to circumvent anti-spam measures;
• Intellectual Property Infringement: Unauthorized reproduction, distribution, or exploitation of copyrighted materials, trademarks, trade secrets, or other proprietary content;
• Harmful Content: Distribution of malware, ransomware, viruses, trojan horses, or other malicious software; hosting, distributing, or facilitating access to child exploitation material or any content that incites violence or terrorism;
• Unauthorized Data Collection: Scraping or collecting personal data in violation of applicable data protection laws (including but not limited to GDPR, CCPA, and PDPA), or collecting data from systems where such collection is expressly prohibited;
• Circumvention of Government Systems: Unauthorized access to, or interference with, government networks, financial institution systems, critical infrastructure, or classified databases;
• Resale Without Authorization: Sublicensing, reselling, or redistributing the Services or proxy access to third parties without prior written consent from JIBAO PROXY;
• Sanctions Evasion: Using the Services to evade economic sanctions, export controls, or trade embargoes imposed by any governmental authority.

JIBAO PROXY maintains automated and manual monitoring systems to detect violations. We reserve the right to investigate suspected violations and cooperate with law enforcement authorities where required by law or where we deem it necessary to protect the integrity of our Services.

6. Payment Terms and Billing

6.1 Prepaid Model

All Services are provided on a prepaid basis. You must maintain a sufficient Credit balance in your Account to use the Services. Usage is deducted from your balance in real-time based on the applicable rate for the proxy product consumed.

6.2 Pricing

Current pricing is published on our website and is subject to change at any time. JIBAO PROXY will make reasonable efforts to notify Users of material pricing changes in advance. Continued use of the Services after a pricing change constitutes acceptance of the updated rates.

6.3 Promotional Credits and Bonuses

• Promotional credits, sign-up bonuses, and deposit match rewards are non-transferable and non-withdrawable;
• Promotional credits may only be applied toward proxy service consumption and cannot be converted to cash or refunded;
• JIBAO PROXY reserves the right to modify, suspend, or discontinue promotional programs at any time without prior notice;
• Abuse of promotional programs (including but not limited to creating multiple accounts to claim duplicate bonuses) will result in forfeiture of credits and Account termination.

6.4 Payment Methods and Chargebacks

We accept various payment methods as listed on our platform. You agree that all payments made are legitimate and authorized. Initiating a fraudulent or unauthorized chargeback or payment dispute constitutes a material breach of this Agreement and may result in:

• Immediate suspension and termination of your Account;
• Forfeiture of all remaining Credits;
• Referral of the matter to debt collection agencies and/or law enforcement;
• Liability for all costs associated with the dispute, including administrative fees and legal expenses.

7. Refund Policy

All purchases are final. Due to the nature of proxy services (instant digital delivery and consumption), refunds are generally not available. Exceptions may be considered on a case-by-case basis at the sole discretion of JIBAO PROXY in the following circumstances:

• A verified, prolonged service outage directly attributable to JIBAO PROXY infrastructure failure (not including third-party network issues, scheduled maintenance, or force majeure events);
• Billing errors resulting in duplicate or incorrect charges, verified by our billing team.

Refund requests must be submitted to [email protected] within seven (7) calendar days of the transaction in question.

8. Service Level and Availability

JIBAO PROXY endeavors to maintain high service availability and performance. However, the Services are provided on an "as is" and "as available" basis. We do not guarantee:

• Continuous, uninterrupted, or error-free operation of the Services;
• Any specific level of uptime, speed, bandwidth, latency, or success rate;
• Compatibility with any particular website, application, or third-party service;
• That the Services will meet your specific requirements or expectations.

We may perform scheduled or emergency maintenance, implement updates, or make infrastructure changes that may temporarily affect service availability. We will make commercially reasonable efforts to provide advance notice of planned maintenance through our website or communication channels.

9. Intellectual Property Rights

All Intellectual Property associated with the Services — including but not limited to the JIBAO PROXY name, logo, website design, user interface, documentation, APIs, software code, algorithms, and proprietary technology — is and shall remain the exclusive property of JIBAO PROXY or its licensors. No rights or licenses are granted to you by implication, estoppel, or otherwise, except as explicitly set forth in this Agreement.

You are expressly prohibited from:

• Copying, modifying, reverse engineering, decompiling, or disassembling any component of the Services;
• Removing or altering any proprietary notices, labels, or marks;
• Using JIBAO PROXY trademarks or branding without prior written authorization.

10. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JIBAO PROXY EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. JIBAO PROXY MAKES NO WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

• JIBAO PROXY, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR REVENUE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY;
• IN NO EVENT SHALL JIBAO PROXY'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER OR IN CONNECTION WITH THIS AGREEMENT EXCEED THE TOTAL AMOUNT PAID BY YOU TO JIBAO PROXY DURING THE THIRTY (30) DAY PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM;
• JIBAO PROXY SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM YOUR VIOLATION OF THESE TERMS, APPLICABLE LAWS, OR THIRD-PARTY RIGHTS.

12. Indemnification

You agree to indemnify, defend, and hold harmless JIBAO PROXY, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the Services;
• Your violation of these Terms or any applicable law or regulation;
• Your infringement of any intellectual property or other rights of any third party;
• Any content, data, or information that you transmit, collect, or process through the Services.

13. Suspension and Termination

13.1 Termination by JIBAO PROXY

We reserve the right to suspend, restrict, or terminate your Account and access to the Services at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms or any applicable law;
• Engagement in Prohibited Activities;
• Non-payment or fraudulent payment activity;
• Upon request by law enforcement or governmental authorities;
• Extended period of Account inactivity (twelve months or longer).

Upon termination for cause, any remaining Credits in your Account shall be forfeited and non-refundable.

13.2 Termination by User

You may terminate your Account at any time by contacting our support team at [email protected]. Upon voluntary termination, any unused purchased Credits may be eligible for refund at JIBAO PROXY's sole discretion, less any applicable administrative fees. Promotional and bonus Credits are non-refundable under any circumstances.

13.3 Effect of Termination

Upon termination, all rights and licenses granted to you under this Agreement shall immediately cease. Sections 5, 9, 10, 11, 12, 14, and 15 shall survive termination.

14. Privacy and Data Protection

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal information. By using the Services, you consent to the practices described therein.

You are solely responsible for ensuring that any data you collect or process through the Services complies with all applicable data protection and privacy laws, including but not limited to the General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA), and the Personal Data Protection Act (PDPA) of Singapore.

15. Governing Law and Dispute Resolution

15.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict-of-law provisions.

15.2 Dispute Resolution

Any dispute, controversy, or claim arising out of or in connection with this Agreement shall first be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved within thirty (30) days, either party may submit the matter to binding arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its rules then in effect. The seat of arbitration shall be Singapore, and the language of proceedings shall be English.

15.3 Class Action Waiver

TO THE EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS SHALL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

16. Modifications to Terms

JIBAO PROXY reserves the right to modify, amend, or update these Terms at any time. Material changes will be communicated through our website, email notification, or in-platform notice. Your continued use of the Services following the posting of revised Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must discontinue use of the Services and close your Account.

17. Severability

If any provision of this Agreement is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties.

18. Entire Agreement

This Agreement, together with the Privacy Policy and any other policies referenced herein, constitutes the entire agreement between you and JIBAO PROXY with respect to the subject matter hereof, and supersedes all prior or contemporaneous oral or written communications, proposals, and representations.
